CHOICE
OF LAW

AGREEMENT SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE
WITH THE SUBSTANTIVE LAWS OF THE UNITED STATES AND THE STATE
OF INDIANA, WITHOUT REGARD FOR CONFLICT OF LAW PRINCIPLES,
PROVIDED, HOWEVER, THAT DISPUTES CONCERNING PATENT, FEDERAL
TRADEMARK, OR FEDERAL COPYRIGHT MATTERS SHALL BE GOVERNED BY
FEDERAL LAW. ANY ACTION SHALL BE INITIATED AND MAINTAINED IN A
FORUM OF COMPETENT JURISDICTION IN INDIANA.
MISCELLANEOUS
Our
failure to strictly enforce any right against you shall not
constitute a waiver thereof. If any provision of these Terms
of Use is deemed invalid, illegal, or unenforceable such
provision will be deemed amended to conform to the applicable
laws and the remainder of the Terms of Use shall remain in
full force and effect. These Terms of Use will not affect or
implicate in any way, the parties' rights and obligations
under any other agreement between the parties. These Terms of
Use incorporate by reference the Privacy Policy and Legal
Notice posted on the Site. This represents the full
understanding of the parties with respect to the subject
matter hereof.
